The information that you submit to us on the attached website form will only be reviewed by Spencer Clarke management, its investment bankers, and certain key employees whose expertise will be valuable for evaluating your idea. Below is our confidentiality agreement that will be applicable to your submission. We cannot alter or modify this agreement due to the large number of submissions we receive.

If you have particularly sensitive information, we suggest that you mask it by using somewhat general terms in your description.

Upon your submission of a funding request by e-mail or other written form, we both agree to be legally bound by the below statement entitled, "Mutual Non-Disclosure Agreement."

MUTUAL NON-DISCLOSURE AGREEMENT

EFFECTIVE DATE: Date which capital seeker submits a funding request.

To expedite and facilitate investment banking negotiations concerning the funding request submitted to NPDC by company/person seeking to raide capital, hereinafter referred to as the "Capital Seeker" and Spencer Clarke LLC., the investment banker for NPDC. Each party (Entrepreneur and Spencer Clarke), on behalf of itself and its employees, agents, members, and officers, mutually agrees to not disclose and to maintain confidential any information received from the other party that is marked "Confidential" for a period of two (2) years from the date of this Agreement, unless such information is disclosed to the general public by the disclosing party.

It is expressly understood that this Agreement does not give Spencer Clarke any rights whatsoever to the submitted funding request, nor does it obligate Spencer Clarke whatsoever to develop, fund, or advance the request submitted by the Capital Seeker. Submission of the request is solely for Spencer Clarke internal review in order for Spencer Clarke to determine whether or not it desires, in its sole discretion, to pursue a business relationship with the Capital Seeker. If a further business relationship is desired by both parties, its terms must be mutually agreed to in writing.
